John (Jack) A. Kincaid is the firm's Chief Executive Officer.  Prior to assuming his role as CEO, he spent most of his 35-year professional career serving the needs of a diverse group of companies in regulated industries, most notably banking and financial services, government contracting, information technology, healthcare and biotech.  Mr. Kincaid has advised and assisted these companies in areas of capitalization, turnaround & restructuring, recapitalization and M&A strategies.  In addition to managing law firms, including one that he founded, he has managed teams of professionals for bank and business turnarounds and reorganizations, distress asset financing & disposition and M&A transactions across multiple industries.

Mr. Kincaid has assisted start-up and growth stage companies obtain multiple rounds of financing, restructure burdensome debt, improve equity structure and achieve growth strategies.  He has also structured and implemented corporate reorganizations and designed and directed investment and M&A strategies for public and private healthcare and biotechnology companies as well as professional services and sports management firms and government contractors.  Mr. Kincaid was a partner in the Hutchinson Group, founded by former Under-Secretary of the Department of Homeland Security and Governor of Arkansas, Asa Hutchinson, where he advised corporate clients on M&A and financial transactions.

In the 1990’s, Mr. Kincaid served dual roles for The Jefferson Group, a Washington D.C. based government relations and business consulting firm.  For Jefferson, he served as General Counsel and CFO/COO, directed operations, M&A strategic growth initiatives and supported the needs of the core business units.  As Managing Director of Jefferson Partners, LLC, an affiliate merchant bank and strategic business advisory firm, Mr. Kincaid directed its operations and business development.

Mr. Kincaid has been a mentor for the New York City Investment Fund Bio-Accelerate Program and the NYC Venture Fellows Program.  He has also served as an Adjunct faculty member and taught Leadership & Organizational Decision Making and Leadership & Ethics at the Masters level.  Mr. Kincaid is a former Marine Corps Officer.

He received his J.D. from the University of Pittsburgh School of Law in 1978.
